David Frankish
I am the Chair of the Covent Garden Market Authority, Chair of the CBI's Employment and Skills Board and Founder and CEO of Clovis Enterprise Ltd. I am also a fellow of the Chartered Association of Certified Accountants and a Fellow of the Chartered Institute of Logistics and Transport. As a passionate believer in the importance of early years education, and having served on the governing body since 1998, I am very pleased with the progress the school has made to its current "outstanding" status awarded by Ofsted. This is an accolade I know is well merited as both my daughters benefited from receiving their primary education at Redhill.

Nicki Millar
I have been Headteacher at Redhill since September 2000. During this period, the school has undergone three Ofsted inspections and I am very proud to lead a school community that has been judged to be outstanding. High quality governance has been a key factor in assisting the school’s leadership team to maintain exemplary teaching and learning over many years. I am an accredited Associate School Improvement Adviser and have supported a number of schools for Derbyshire LEA alongside my role as Headteacher at Redhill. I have also acted as a mentor Headteacher for the local authority and the National Leadership College. As a governor, I am involved in all decisions with the governing body. Governor meetings are also used to question me on current school provision and plans for future improvement.

Bev Malysz
I have been a school governor at Redhill Primary School for a number of years. I worked at a local secondary for over 20 years where I was the school Behaviour and Attendance Manager and also the school Safeguarding Lead. Although I am now semi-retired, I continue to work part time as a learning mentor for pupils who are at risk of exclusion from school. I believe a child’s education is crucial to their academic achievements and – just as importantly – to the development of their social and other life skills. I want the very best for all children. I feel that by being part of Redhill School’s governing body I can help our children be happy and confident in all that they do and to strive be the very best that they can be.

Matt Bromley
I have worked in Education for the last 10 years, initially as a Lecturer and then as Workforce Development Fellow, supporting individuals and organisations to develop and grow by meeting their training and development needs personally, operationally or strategically. I now work as an Academic Manager at the University of Derby, managing a department with a team of academics in areas such as Business, Finance, Law and Engineering. I have a great interest in education and the opportunities available to those of all ages and I am currently midway through Doctoral studies in Education. Having grown up in West Yorkshire, I now reside in Derbyshire and have two children who are approaching School age.

I have been a governor at Redhill School since 1999, initially as a parent governor. Both my sons were attending the school, and getting an excellent education, and I felt that I wanted to put something back if I could. I am currently Chair of the Finance and Personnel Committee and a past vice-chair of governors. I am also a governor at George Spencer Academy in Stapleford. I have lived in the Ockbrook and Borrowash area for about twenty-five years and until recently was a Metallurgist at Rolls-Royce in Derby.

Hayley York
I have worked in Education for 17 years. I am currently the Transition Manager for Friesland School working and supporting Year 6s as they move into Year 7. I offer pastoral support to Year 7 as they navigate their journey from Primary to Secondary School. I have a background in Performing Arts and have worked with SEND students and supported many students with their mental health struggles. I have led on the Anti-Bullying work and Peer-Mentoring training at Friesland over the years. I believe that every child should feel safe and happy in their school environment. I feel extremely lucky to have a child at Redhill School and have been extremely impressed with the care they give on a day-to-day basis. I look forward to working and supporting Redhill to continue to be an outstanding school in all areas.

Liz Wells
I have recently become a parent governor at Redhill [Dec 2024] and I’m looking forward to helping the school to continue to enable children to achieve in the broadest possible sense. I am a paediatric nurse and have led a community team for a number of years. I have a good knowledge of safeguarding and SEND, specifically contributing to Education, Health and Care Plans as well as directly supporting children and young people with additional health needs in education settings. I have experience of managing risk, developing policies and guidelines and budget management. I have two children who joined Redhill in September. It’s a wonderful school and I feel very lucky to be part of such a friendly and supportive community.

I am a dedicated advocate for innovative thinking and personal growth, with over two decades of experience as a digital technology enthusiast and entrepreneur. I have a proven history of mentoring individuals and supporting businesses to achieve their aspirations. My involvement with organisations like the Bright Ideas Trust and Holler highlights my commitment to mentoring and philanthropy. Over the years, I’ve worked with young people through tailored workshops, school collaborations, and council projects to support challenged youths, fostering skills for adulthood and inspiring positive change. Redhill School holds a special place in my family's history, with two generations benefiting from its excellent education since 1991. I’ve proudly served as a football coach at Redhill for the last couple years, and as a governor, I aim to leverage my expertise in business development and passion for education to empower students and contribute to the school’s continued success.

Governing Body Code of Conduct
Our governing body review the code of conduct for governors on an annual basis and all governors agree to abide by this. We base our code of conduct on the model code provided by the NGA.
Structure and Remit of the Governing Body
The governing body meets once each academic term. The governing body establishes an overall framework for the governance of the academy and agrees membership of committees and their terms of reference. The governing body receives reports and policy documents from its committees for ratification. It monitors the activities of the committees through the minutes of their meetings.
The governing body is responsible for setting general policy, adopting an annual plan and budget, monitoring the academy budgets and making major decisions about the direction of the academy, capital expenditure and senior staff appointments.
Terms of Reference for the Governing Body
The Governing Body establishes an overall framework for the governance of the academy. It takes on a strategic role, acts as a critical friend to the school and is accountable for its decisions. It sets aims and objectives and reviews, agrees and monitors policies, targets and priorities. Governing Body meetings are open to the public with Minutes available except for matters considered confidential. In the event of a tied vote the Chair or Acting Chair/Vice Chair will have a second or casting vote.
The Governing Body will:
- Hold at least 3 meetings per year
- Appoint or remove the clerk
- Elect a Chair and Vice Chair
- Advise all parents of any parent governor vacancies and to appoint co-opted governors
- Set dates of meetings for the year ahead
- Receive Head teacher reports
- Review and monitor national test results
- Review the level of exclusions
- Monitor attendance of pupils/staff/governors
- Monitor accidents/incidents involving pupils/staff/governors/visitors
- Set pupil performance targets
- If required, consider the suspension of a governor
- Provide induction for new governors
- Encourage governors to visit school and to review, adopt and monitor a governors’ visit policy and feedback procedure
- Review, adopt and monitor the procedures for dealing with complaints from parents/carers
- Review, approve and monitor the School Improvement Plan
- Annually review and approve the School Health and Safety Policy
- Monitor the implementation of the schools health and safety arrangements
- Ensure at least 2 governors are appointed to complete the Headteacher’s Performance Management.
- Maintain and update annually a file of business and pecuniary interest declarations
- Publish information on governors and their business or pecuniary interests as required by legislation.
- Ensure governing body information is recorded and kept up to date on the DfE’s national database of governors (GIAS).
- Review, adopt and monitor a governors’ expenses policy and curriculum policy
- Review annually the delegation of functions and committee structure
- Receive reports and in particular policy documents from its committees for ratification.
- Monitor the activities of the committees through the minutes of their meetings and establishes committee terms of reference.
- Organise support and training for governors.
- To receive a regular report on Safeguarding.
- Ensure the school is compliant with the requirements of the GDPR.
- To ensure that there are appropriate technical and organisational measures in place to reduce the risk of a cyber security attack.
- To appoint a Governor responsible for ensuring that the filtering and monitoring standards are met in regard to the school’s IT system, ensuring there are processes in place to filter and monitor risk, and to regularly review their effectiveness.
The Governing Body has a strategic role in the financial management of schools and its key responsibilities include:
- Approval of Annual Budget
- Authorisation of the 3 year financial plan
- Setting financial priorities through the School Development Plan
- Appointment and salary of Head Teacher
- Determination of the staff complement and pay policy for the school
- Authorisation of Terms of Reference for all committees
- Authorisation of non-budgeted expenditure and virements
- To approve financial regulations and procedures on an annual basis.
- Act as a critical friend to the school on all financial matters
The Governing Body will not delegate any functions relating to: the constitution of the Governing Body (unless otherwise provided by the Constitution Regulations), the appointment or removal of the Chair and Vice-Chair, the appointment of the Clerk, the suspension of governors, the delegation of functions and the establishment of committees.
Delegated Functions Overview
The following functions are delegated to the board, but not to any individual:
- Functions relating to the approval of the first formal budget plan of the financial year;
- Functions relating to school discipline policies;
- Functions relating to the exclusions of pupils (except in an emergency when the Chair has the power to exercise these functions).
Quorum
The quorum for governing body meetings shall not be any three governors, or, where greater, any one third (rounded up to a whole number) of the total number of Governors holding office at the date of the meeting.

Members meet as required and at least once a year. The remit of the members is to assess if the board of trustees (governors) are performing well and to ensure that the charitable objective of the trust is being fulfilled. The Department for Education’s Governance Handbook advises that the role of members in the running of the trust is minimal and one of oversight.

There are also some critical decisions that sit with the members and they are essential to the integrity of an academy trust governance structure.

Trust Member
For many years I was a Governor at Redhill, and before that a member of the PTFA and I am now a Member of the Redhill Academy Trust. The three Members focus on Governing Body appointments, school results and the effective use of public funds. We receive and adopt the Governing Body’s Annual Report and appoint the school’s auditors. In common with some other governors, my two daughters attended Redhill back in the day – and both benefited from the excellent education provided. It is a privilege to be able to assist in any way that can maintain and enhance these standards.

Whilst I was a previous pupil of Ockbrook Village School, as well as a past parent and Chair of Governors of Redhill School, I am now a proactive grandparent of a current pupil and enormously proud to be a Member of Redhill Academy Trust. Although retired, my previous clinical and managerial roles within the NHS have given me a wide range of skills, knowledge and experience in leadership, finance, business improvement, H R and Governance. It is an honour to support this excellent Academy, the dedicated staff, and enthusiastic Governors in meeting its objectives to provide first class education, a love of learning and preparation for life in modern Britain.

Governing Body Meeting Dates 25-26
The Full Governing Body meet twice during the Autumn term, once during the Spring term and twice during the Summer term. Our Committees will meet at least once a term, with the exception of the Admissions committee which will only usually meet on an annual basis.

Register of Pecuniary Interests
All members of the Governing Body, the Headteacher and any staff who influence financial decisions, are expected to declare any business interests that they or any family member may have, and a register of business interests is available both in school and on our website. This register is reviewed on an annual basis and governors are asked to advise the clerk if there are any changes during the year.
Declaring any conflicts of interest is a legal requirement within our Articles of Association and the Academies Financial Handbook. However, making an annual declaration does not remove the requirement to make an oral disclosure of any interest and temporarily leave any meeting, where the interest is relevant to something being discussed at that meeting.
As you will appreciate, the Governing Body must ensure that Governors and staff are not involved in activities that might conflict with their role within the school. It is especially important to demonstrate that individuals do not benefit personally from the decisions made by the Governors, unless such decisions are made openly and legitimately.

NGA Membership
All our governors are members of the National Governors Association (NGA) www.nga.org.uk. The NGA supports governors in schools and offers a range of information, advice and guidance.
Governor Training
Our governors undertake an annual skills audit to ensure that we have all the skills required for effective governance and governors will undertake any training that may be required.
All our governors attend new governor induction training as well as receiving a comprehensive new governor information pack.
